REGISTERED TRADEMARK USER AGREEMENT

THIS AGREEMENT is made and entered into on ___, ____, 2000__ by and between World Corp. with its office at ______ (hereinafter called "XYZ") of the one part and Wonder Inc., with its office at ___________ (hereinafter called "ABC") of the other part.

 

WHEREAS, XYZ is the registered proprietor of the Trademark (hereinafter called "the Trademark") particulars of which are set out in the Schedule hereto in respect of the class and description of the Goods specified therein ;

 

WHEREAS, XYZ has agreed to grant ABC the right to use the Trademark as the exclusive registered

user of the Trademark upon the terms and conditions hereinafter appearing ;

 

NOW, THIS DEED WITNESSETH and it is hereby agreed as follows

 

 

Article 1.

XYZ hereby grants to ABC, during the effectiveness of this Agreement as set forth in Article 5 hereof the exclusive right to manufacture and sell the Goods under the Trademark.

 

 

Article 2.

XYZ and ABC shall forthwith jointly apply with the relevant Patent and Trademark Office to register ABC as the exclusive registered user of the Trademark in respect of the Goods described in the Schedule hereto (hereinafter called "the Goods").

 

 

Article 3.

(a) ABC hereby undertakes and warrants that the Goods manufactured or marketed by it under the Trademark shall conform to the standards of quality of materials and workmanship laid down or approved by XYZ, and ABC shall apply and use the Trademark only in relation to such Goods and only under and in accordance with the provisions of this Agreement.

(b) ABC hereby undertakes at reasonable intervals when and if called upon to do so, to submit samples of the Goods in respect of which it uses the Trademark for inspection and testing by XYZ or her duly authorized representative.

 

 

Article 4.

ABC shall pay XYZ USD ____ per year as compensation for the use of the Trademark by the end of January of immediately succeeding year.

 

 

Article 5.

(a) Subject as is hereafter mentioned, the rights of ABC hereunder shall continue in force until the _ day of , 200_.

(b) If ABC shall commit or allow to be committed any breach of any covenant, undertakin

g or warranty hereunder and shall not remedy the same within sixty (60) days after notice in writing shall have been given to it by XYZ requiring such remedy, XYZ shall be at liberty by notice in writing to determine the rights of ABC hereunder.

 

 

Article 6. After the rights of ABC hereunder shall have determined :

(a) XYZ shall be entitled to apply to the relevant Patent and Trademark Office for the cancellation of ABC as registered user of the Trademark and ABC shall not oppose any such application.

(b) ABC shall cease to use the Trademark on any of the Goods.

 

 

Article 7.

This Agreement shall be governed and interpreted under the laws of Korea.

 

 

Article 8.

All disputes, controversies, or differences which may arise between the parties, out of, or in relation to, or in connection with this contract, or for the breach thereof, shall be finally settled by arbitration in Seoul, Korea in accordance with the Arbitration Rules of The Korean Commercial Arbitration Board and under the laws of Korea. The award rendered by the arbitrator(s) shall be final and binding upon both parties concerned.

 

 

IN WITNESS WHEREOF, XYZ has hereunto set her hand and seal and ABC has hereunto caused its common seal to be affixed the day and year first above written.
