This Memorandum of Understanding(hereinafter referred to as “MOU”) made and entered into March , 200_ by and among Supplier Corp., a corporation duly organized and existing under the laws of the Republic of Korea and having its principal office at 20, ________ Korea, Manufacture Inc., a corporation duly organized and existing under the laws of the Republic of Korea and having its principal office at __________, Korea (hereinafter collectively referred to as “Vendor” and respectively “SC” and “MI” in order) and AS(Pty) Ltd., a corporation duly organized and existing under the laws of (AS의 준거법) having its principal office at (AS의 주소 기재) (hereinafter referred to as “AS”) WITNESSETH :

WHEREAS, Vendor and AS desire to conclude this MOU prior to the main distributorship agreement(hereinafter referred to as “Main Agreement”) for the sale and distribution of the Vendor Agricultural Machinery (hereinafter referred to as “Machinery”)between Vendor and AS ;

NOW, THEREFORE, in consideration of the covenants and premises contained herein, the parties agree as follows :

 

Article 1 (Appointment)

1.1 Vendor shall appoint AS as its exclusive distributor in ______ and non-exclusive distributor in ____________of Machinery.

1.2 At the end of 200_, Vendor may appoint AS as its exclusive distributor in the areas mentioned above except Swaziland in view of AS’s sales activity during the period of 200_.

 

Article 2 (Minimum Purchase)

2.1 AS shall place order with Vendor having an aggregate value of US$500,000 perannum in the area of Swiss. The order shall not be binding unless and until it is accepted by Vendor at its discretion.

2.2 Within ( ) days after receipt of Vendor’s confirmation of order, AS shall open an irrevocable at sight Letter of Credit in favor of Vendor, or Vendor’s nominee issued by an international first class bank satisfactory to Vendor.

2.3 Unless otherwise agreed between the parties, currency of payment shall be in United States Dollars.

 

Article 3 (Effectiveness)

This MOU shall be effective from the date in the preamble of this MOU, and unless extended by written agreement of the parties, shall be terminated upon the earlier to occur of one of the following events :

a) The execution of the Main Agreement.

b) ( ) months from the effective date of this MOU.

 

Article 4 (Applicable Law )

This MOU shall be governed by and construed and interpreted in accordance with the laws of the Republic of Korea.

 

Article 5 (Arbitration)

All disputes, controversies or differences which may arise between the parties out of or in relation to or in connection with this Agreement or for the breach thereof shall be finally settled by arbitration in Seoul, Korea in accordance with the Commercial Arbitration Rules of the Korean Commercial Arbitration Board and under the law of Korea. The award rendered by the arbitrator(s) shall be final and binding upon both parties concerned.

 

Article 6 (Warranty, After Service and Others)

Detailed terms and conditions not stipulated in this MOU including warranty and aftersales service of Machinery shall be agreed in the Main Agreement. IN WITNESS WHEREOF, the parties hereto have caused their duly representative to execute this MOU as of the date first written above.
