BY THIS PRESENTATION of POWER OF ATTORNEY given on the __th day of _______, 200_, Grantor (hereinafter called the "Grantor", a company duly organized and existing under the laws of Republic of Korea and having its office at , Korea hereby make, constitute and appoint Nominee 1 & Nominee 2) who (Position) at (Workplace) located at (Address) (hereinafter called the "Attorneys", any of them acting severally, with full power of substitution, as the Grantor's joint and several true and lawful attorneys (acting alone or together with the other attorney) conferring upon them ample power and authority to act in the name and on behalf of the Grantor as follows:

 

 

[Negotiation & Signing] to negotiate, sign and deliver (Relevant Contracts Names to be Expected) and other various security documents, relating to the (Transaction or the Name of Contract with signing date and parties concerned which is basis of the contract to be signed hereabove as amended or supplemented) (hereinafter called the "Transaction");

 

 

[Related and Ancillary Actions] to do all acts and things (including the signing of various documents relating to this Transaction including but not limited to any of its subsidiary undertakings, any forms, notices, consents, instructions, agreements or other documents) as may be necessary or desirable in the sole option of the Attorney in order to give effect to the Transaction and for the faithfully carrying out of the powers hereby granted.

 

 

[Ratification] The Grantor does hereby ratify and confirm all actions taken by the Attorney hereunder, and undertakes to ratify and confirm any and all actions to be taken by the Attorney within the scope of the authority conferred hereby.

 

 

[Indemnity] The Grantor hereby does further agree to indemnify and hold the Attorney hereunder harmless from and against any and all liabilities, damages, penalties, judgments, suits, expenses and all other costs of any kind or nature whatsoever imposed on, incurred by or asserted against the Attorney in respect of the Attorney's action or failure to act hereunder.
