This Memorandum of Understanding (the “MOU”) is made and entered into this ___ th day of June 200-- by and between DAFI Corp. represented by -------------, a company of --------------------------------- (the “DAFI”) and Venture Corp. represented by ------------------, a company of Republic of Korea (the “VC”).

 

RECITALS:

 

------------------------------------------- (the “Owner”) desires to erect hydro electronic power generation plants mentioned in Article 1 herein below (the “Projects”) and is seeking for a foreign corporation who may provide Owner with construction, engineering service to build and construct the Projects and assign such work to DAFI. VC has the ability to provide construction, engineering service which Owner wants to seek and has strong intention to participate in the Projects.

 

NOW, THEREFORE, both parties agree as follows:

 

1. The Projects which will be owned by Owner and represented by DAFI are as follows:

e. other hydro electronic power generation plants planed by Owner.

2. DAFI and VC have recognized and understood each other that VC have intention to participate in the Projects subject to the payments guarantee for the contract price for Projects which is acceptable to VC.

3. DAFI acknowledges and confirms that DAFI is duly representing Owner to seek the foreign company to implement and complete the Projects and DAFI appoints VC as sole and exclusive contractor for the Projects pursuant to further negotiations and contracts for the Projects.

4. DAFI will, right after from the signing date of this MOU, provide VC with all information and necessary arrangements including but not limiting to site survey, confirmation of funds availability etc. relating to the Projects to proceed and complete VC’s pre-feasibility study properly.

5. Both parties shall keep this MOU as confidential, and neither party shall disclose this MOU and any confidential information which is apparently specified when provided by the other party to any other party, person or entity in any manner whatsoever without the prior written consent of the other party.

6. This MOU shall be effective on the date written hereinabove and be expired, null and void on _________, unless both parties agrees to execute another agreement(s) for the construction of the Projects or to extend the term of this MOU.
