This Memorandum of Understanding (“MOU”) is made and entered into the th day of July, 200_ by and between the Ministry Corporation (“MC”) and Business Inc., a corporation duly organized and existing under the laws of the Republic of Korea (“BI”) with the intention to set up a joint venture for a new oil refinery in ______.

 

NOW, THEREFORE, both parties agrees as follows :

 

1. MC and BI have recognized and understood each other that both parties have the intention to set up a joint venture for a new oil refinery (capacity : 100,000 - 150,000 BBLS/day) in ______, including petroleum product retail business (“Joint Venture”).

 

2. BI wishes to conduct, at its costs, the preliminary feasibility study for the Joint Venture including site survey for the Joint Venture (“Pre-F/S”) and to submit the result of Pre- F/S to MC by the end of December 200_ and MC accepts BI’s intention.

 

3. For supporting BI’s Pre-F/S, MC shall provide BI with all information and necessary arrangements relating to the Joint Venture including but not limiting for site survey, etc. to proceed and complete BI’s Pre-F/S properly.

 

4. After MC received Pre-F/S provided by BI, MC and BI shall meet and negotiate each other whether or not the parties shall go on with the Joint Venture.

 

5. MC shall keep Pre-F/S as confidential, and shall not disclose such Pre-F/S by the end of December 200_, to any other party, person or entity in any manner whatsoever without the prior written consent of BI.

 

6. This MOU shall be effective on the date written hereinabove and be expire, null and void on June 30, 200_, unless both parties agrees to set up “Joint Venture” or extend the term of this MOU.
