As you are well aware, you and I have been negotiating seriously for some time for the possible acquisition of your business by(insert buying entity's legal name) or by an affiliate.

 

One purpose of this letter is to confirm that we continue to be very seriously interested in having you, your people, and the business join us.

 

The other purpose is to state the agreement between us that, in order to give us time to proceed with our negotiations in an other person or entity the sale of all or part of your business listed below for a period of 90 days (the number of days is negotiable) from the date hereof.  We will target a closing date earlier than 90 days. Unless required  by law, you and I and our associates will also keep our discussions concerning the proposed transaction strictly confidential.

 

Prior to our signing a definitive agreement, a series of steps will need to be accomplished including, among other things, financial of terms of the transaction, obtaining financing, audit of financial statements, and a detailed review of the business.

 

Briefly, we contemplate a transaction whereby the purchase price for 100 percent of the capital stock of (insert legal name of seller's business and any subsidiaries includable in the acquisition) will be (insert dollar amount) cash-equivalent (or cash and notes or the number and description of capital shares of the buyer to be issued).  In addition, we expect to have a profit sharing/bonus plan for you and key people wherein (insert a brief description of the plan).
