This Letter of Intent made and entered into this ○○○.day of, 1993,by and between ABC COMPANY LIMITED., a corporation duly organized and existing under the laws of Japan, having its principal office and place of business at 200, Ishida, Iseharashi, Kanagawa Prefecture, Japan (hereinafter referred to as ABC) and XXX CO., LTD., a corporation organized and existing under the laws of the Republic of Korea, having its principal office and place o( business at, KyunggiDo, Republic of Korea(hereinfter referred to as XXX) .

 

 

RECITALS :

 

WHEREAS, ABC has long been engaged in the manufacture and sale of certain LASER systems in Japan and other countries ; and

 

WHEREAS, ABC has acquired and possesses valuable technical information on the design, manufacture, installation and4 use of such LASER systems ; and

 

WHEREAS, ABC has the right to grant a license to manufacture, use and sell such LASER systems by the use of such technical information : and

 

WHEREAS, XXX desires to obtain, and ABC is willing to grant the right and license to manufacture, use and sell one of such LASER systems by utilizing such technical information to be furnished by ABC ;

 

NOW, THEREFORE, in consideration of the mutual premises tons covenants hereinafter, the parties agree as follows ;

 

1. The parries shall cooperate to select one of such LASER systems which will be best fitted for local demand and marketability in the Republic of Korea. As of the date of this LETTER OF INTENT, XXX tentatively choose the system LCV ll series.

 

2. XXX's finale selection of the system shall be made not later than end of June, 1993.

 

3. Upon XXX's selection, both parries shall make best efforts to come to mutual consent on the terms and conditions for the technical license agreement to be executed between parties, for XXX's manufacture, use and sales of the selected LASER system.

 

IN WITNESS WHEREOF, the parties herein have caused this LETTER OF INTENT to be executed in duplicates by their respective duly authorized officer as of the date first above written.
