LETTER OF INTENT

  This Letter of Intent (“LOI”) is made this day of     ,        , by and between ABC Co., Ltd., a corporation duly organized and existing under the laws of the Republic of Korea (“ABC”), having its principal office at (                  주소                )the Republic of Korea, and XYZ Corp., a corporation duly organized and existing under the laws of (   상대방 국적    ) (“XYZ”), having its principal office at (                상대방 주소                )

 

RECITALS

  WHEREAS, ABC and XYZ desire to cooperate in the organization of joint venture company in (“J/V Company 를 설립할    국가명   ) for the manufacture and sale of some electronic products to be agreed on by both parties (“Products”)

 

  WHEREAS, both parties are in willing to negotiate the terms and conditions of the organization of the J/V Companies, which are to be set forth in the Joint Venture Agreement.

 

  NOW, THEREFORE, in consideration of the mutual premises and covenants herein, the parties agree as follows;

 

1. The parties shall cooperate to organize and establish the J/V Company substantially in accordance with the terms and conditions of the Joint Venture Agreement. The parties hereto shall also use their best efforts to complete negotiation for all aspects of cooperation contemplated hereby including the establishment of the J/V Companies and execution the Joint Venture Agreement and the related agreements such as Technical Collaboration Agreement and Raw material and Components Import Agreement, etc, within six( 6 ) months from the date first above written. The basic terms and conditions of the Joint Venture Agreement and the Related Agreements shall be as those specified in Exhibit attached herein.

 

2. This LOI shall continue in full force and effect for six ( 6 ) months commencing on the date of this LOI and may be extended for successive period of six ( 6 ) months upon mutual written consents of the both parties.

 

 

 

IN WITNESS WHEREOF, the parties herein have caused this LOI to be executed by their respective duly authorized officers as the date first written above.
