MEMORANDUM OF UNDERSTANDING

This MEMORANDUM OF UNDERSTANDING (MOU) was made and entered into on the

th day of (Month), (Year) by and among Supplier Corp., a company duly organized and

existing under the laws of the Republic of Korea, whose principal office is at ,

Korea ("SC") and 3G Telecommunications Company, a company duly organized and existing

under the laws of the Republic of , whose principal office is at ("GTC")

with the intention to form a Distributorship Agreement reflecting parties' intentions of

developing the Cable ("Product") business in market.

NOW, THEREFORE, the parties intend to agree as follows:

1. GTC agree to develop a market for the Product in ("Territory") and SC agree to

supply the Product to GTC in accordance with the terms and conditions of distributorship

agreement to be agreed by the parties subject to this MOU.

2. For the purpose of preliminary introduction of the Product in the Territory and assessing

of the sales volume necessary to make sales plan for the Product for the negotiation of

distributorship agreement, GTC will hold the exhibition for the Product in the Territory, at

its own cost and expenses during the period beginning with the end of August and

ending the first third of September.

3. SC will do its best endeavour to assist GTC's exhibition of Product in its discretion.

4. After the exhibition is successfully held, GTC, and SC meet and discuss the business for

the Product in the Territory based on the sales plan provided by GTC and the parties will

negotiate, determine and conclude the specific terms and conditions of the distributorship

agreement by .

5. This Memorandum of Undertaking shall become invalid if the distributorship agreement

fails to be established by end of .

In Witness whereof, this Memorandum of Undertaking was made and signed by the parties as bellow.
