LEASE AGREEMENT
THIS LEASE AGREEMENT made and entered into this day of , by and between having his address

Article 1. Description of Property

⑵ Leasee shall have the option to renew this lease on year by year basis for an additional year by giving a written notice thirty days prior to the expiration of the initial term of one year. For renewal, the term and conditions shall be identical in every respect with this Lease Agreement, except for the amount of Key Money, which shall be negotiable according to the local rental custom.
Article 3. Key Money System
This Lease Agreement is entered on the basis of the so called “Cheon Sae”(Key Money System) with monthly rental payment to be made.. Lease shall deposit with Lessor a total of in Key Money for the term of this lease. Said Key Money for the term of this lease. Said Key Money shall not bear any interest and shall be returned to Lessee immediately without any deduction.

The payment of Said Key Money by Lessee to Lessor shall be made according to the Following schedule : -
⑴ On th day of , , the date this agreement is signed by the parties, Lessee shall Key Money shall deposit with Lessor of the said Key Money.
⑵ The balance of the said Key Money shall be due and payable a week befor the lease commencing date as provided in the Article 2.
It is agreed and clearly understood by the parties that the total amount of the Key Money shall not be modified or adjusted during the terms of this lease.
Article 4. Representation and Warranty
Lessor represents and warrants that Lessor owns the premises leased hereunder and that there is no defect in the ownership and title of the Premises. Lessor hereby covenants to take every action necessary or appropriate to defend against any claim and/ or complaint against the Premises for and on behalf of Lessee, to hold Lessee free and harmless thereform, and to indemnify Lessee for any damages incurred thereby.
Article 5. Lessor Agrees
⒜ To exempt Lessee from responsibility for the repair of damages to the Premises resulting from ordinary wear and tear, fire earthquake, storm, war, civil disturbance and other conditions beyond Lessee′s control.
⒝ That all taxes, assessments and other charges of a public nature will be borne by Lessor.
⒞ That if, in the opinion of Lessee, the Premises are rendered untenantable by An Act of God, or by any other cause over which Lessee has no control, Lessor will refund to Lessee the total of the Key Money within days after the date the Premises are rendered untenantable.
⒟ To guarantee to Lessee quiet possession and enjoyment of the premises.
⒠ That Lessee shall be permitted to bring upon or install on the Premises any articles of furniture, equipment or other items in the nature of fixtures as deemed necessary by Lessee, PROVIDEO that any alterations, structural or otherwise, in or to the Premises m-ay be made only upon approval by Lessor, such approval not to be with-held unreason-ably.
⒡ That Lessee may, at or prior to the expiration or termination of this lease, take, remove, or carry away from the Premises all fittings, equipment, or other articles in the nature of fixtares which were brought upon the Premises by Lessee PROVIDEO, that if Lessee in such removal damages the Premises he shall forthwith make good such damage.

⒢ That at all times during the term of this lease, Lessor shall, at his own expense, perform or have performed all structural repairs, both internal and external, to the main walls, roofs, floors and drains of the Premises and to perfrom or have performed any necessary repairs to the service mains(water, sewage, electricity, etc.) within the Premises.
⒣ In the event Lessee bring suit against Lessors for any breaches of this Lease Agre- ement, Lessor shall pay to Lessees, if Lessee prevail in such actions, all reasonable costs and attorneys′fees incurred by Lessee.
Article 7. Lessee Agrees
⒜ To take all resonable precautions, as a responsible tenant, to maintain the decor of the Premises and the environment thereof in general.
⒝ To make good all damages to the Premises, other than fair wear and tear, if dam- age is caused by the willful act or the negligence of Lesee.
⒞ To pay, in addition to the Key Money specified in Article 3, for all utility charges related to Lessee′s consumption of electric power, water Fuel oil, and the like.
⒟ To be responsible for the day to day upkeep, maintenance and cleanliness of the Premises.
Article 8. Eminent Domain
In the event that, after the execution of this Lease Agreement, the Premises are cond- emned by any public authority, then the term of this Lease Agreement shall cease as of the date actual possession of the Premises thereof is taken. Immediately thereupor, Les-sor shall refund to Lessee the total of Key Money.
Article 9. Termination Clause
⒜ If either Lessor or Lessee are in default of any obligation under Lease Agreement and if such party fails to remedy such default within week(s) after written notice thereof, the non-defaulting party hereto shall have the right to terminate this Lease Agr-eement at any time within days following the said week(s) period. The termination right provided herein shall be in addition to any other rights or remed-ies which may exist on account of such default.
⒝ Lessee may terminate this Lease Agreement forthwith at any time by giving written notice to Lessor in the event Lessor becomes insolvent or any proceedings are instituted by or against Lessor in bankruptcy or under insolvency laws.
⒞ It is also agreed and clearly understood by the parties that upon serving m-onth(s) written notice of intent. Lessee may terminate this Lease Agreement, for any re-ason, including but not limited to Lessee′s being with drawn from Korea by his empl-oyer.

⒟ It is also agreed that, during the term of this Lease, the Lessee may sublease the Premises to any third party acceptable to the Lessor, such acceptance by Lessor not to be withheld without justification.
Article 10. General
⒜ This Lease Agreement embodies the entire understanding between the parties here- to with respect to the matters covered herein and supercedes and cancels any prior agr-eements between the parties with respect to the matters covered herein. Each party ack-nowledges that it has no other understanding which relates to the matters covered here- in.
⒝ No changes, alternations or modifications hereto shall be effective unless made in writting and signed by the authorized representative of each of the parties, and, if appl- icable, upon approval by competent authorities of the Republic of Korea.
⒞ If any provision of this Lease Agreement is held or determined to be invalid, such holding or determination will not effect the validity of the other provisions of this LeaseAgreement.
⒟ This Lease Agreement shall be written in the English language and exucuted in two(2) copies, each of which to be deemed an original. The English text of this Lease Agreement shall prevail over any translation thereof.
⒠ Notice
All notices and communications called for in this agreement shall be addressed to the Lessor and Lessee at the address set forth underneath their signature on the last page of this agreement.
