LETTER OF INTENT

This Letter of Intent was made and entered into on the __ th day of (Month), (Year)

between AAA and BBB

 

Whereas, AAA and BBB wish to construct an first class international hotel with around

500 rooms on the site of (Place) and inaugurate the hotel before (Starting Date).

 

Now, Therefore, both parties intend to agree as follows:

 

1. Establishment of a Joint Venture Company ("J/V")

a. Both parties agree to establish a J/V in (Place) under the relevant laws of (Nation) for the purpose of constructing and operating the hotel.

b. The paid-in capital of J/V shall be US$10 Million, 50% of which shall be subscribed by AAA and 50% of which shall be subscribed by BBB.

c. The share accepted and subscribed by AAA shall be paid both in cash and in kind.

d. Both parties agree to specify the operation of J/V in the J/V Agreement and/or in Articles of Incorporation of J/V.

 

2. Hotel Management Agreement and Technical Service Agreement.

c. This Letter of Intent shall become invalid if J/V fails to be established by end (Date). The Letter of Intent may be extended upon written agreement by both parties.
